By using any voicebank distributed through this website, you are deemed to have read, understood, and agreed to these Terms of Use, hereinafter referred to as the “Terms.”

　If content that violates these Terms is discovered, the creator may request that the content be removed.

　If the user repeatedly fails to comply with a removal request, the creator may submit a removal request to the relevant platform, request that the user’s account be suspended or banned, or take legal action.

　1. Application　

1. These Terms are intended to define the rights and obligations between Asai, the creator of the applicable voicebank, hereinafter referred to as the “Creator,” and any person using the voicebank, hereinafter referred to as the “User.”

2. These Terms apply to all matters relating to the use of UTAU voicebanks between the Creator and the User.

3. If any explanation, notice, or other information provided outside these Terms conflicts with these Terms, the provisions of these Terms shall take priority unless it is explicitly stated that a separate special provision overrides them.

 

　2. Definitions　

UTAU

　“UTAU” refers to the voice synthesis software created by Ameya/Ayame:

　For the purposes of these Terms, “UTAU” is defined broadly as a tool or method used to operate a UTAU voicebank. This definition also includes methods of using a UTAU voicebank without directly using the original 　UTAU software.

UTAU Voicebank

　“UTAU Voicebank” refers to a complete package containing voice configuration files, audio files, and any associated character artwork or character information.

Voice Configuration

　“Voice Configuration” refers to the original voice configuration, including oto.ini settings, and frequency-related configuration used to operate audio files in UTAU or other compatible software.

Creator

　“Creator” refers to the person who created the UTAU voicebank to which these Terms apply.

User

　“User” refers to any person who uses the UTAU voicebank to create or publish music, artwork, videos, or any other type of work.

Administrator

　“Administrator” refers to the person responsible for establishing and maintaining these Terms.

Voicebanks

　“Voicebanks” or “the Voicebanks” refers to all voicebanks distributed through this website.

Terms

　“Terms” refers to these Terms of Use.

　3. Conditions of Use　

　The User may use the Voicebanks only on the condition that they comply with these Terms and any applicable special provisions.

　If the Creator determines that a work created using a Voicebank is inappropriate and requests that its publication be discontinued or that the work be removed, the User must comply with that request.

 

　4. Disclaimer　

The distributor shall not be responsible for compensating the User for any physical, psychological, financial, or other damages resulting from the use of a UTAU voicebank.

These Terms may be modified, supplemented, or partially removed without prior notice.

The latest version of these Terms shall apply even to copies of a Voicebank that were downloaded or distributed before the Terms were updated.

If the User violates these Terms, the Creator may prohibit that User from using the Voicebank or its associated character.

 

　5. Permitted Uses　

The User is permitted to perform the following activities using an applicable UTAU voicebank.

Unless otherwise specified in separate special provisions, prior permission or notification is not required.

1. Using UTAU, OpenUtau, or other tools to generate singing, speech, or other synthesized audio using the Voicebank

2. Processing the Voicebank’s audio by applying noise reduction, effects, mixing, pitch editing, or similar modifications

3. Creating illustrations or other expressions based on the Voicebank’s associated character, provided that the work is a non-commercial doujin or fan work

4. Using the official character artwork in a work that uses the Voicebank

5. Redistributing an oto.ini file that has been modified or newly configured by the User

6. Using the Voicebank outside UTAU, including for HANASU and other speech-related purposes

7. Modifying the character’s appearance or profile

8. Publishing non-commercial fan works and derivative works featuring the character

9. Creating a male or masculinized version of the character or voice

10. Creating works rated R15 or below, provided that appropriate content warnings and age restrictions are used

 

　6. Prohibited Uses　

The User must not perform any of the following activities using the Voicebanks:

• Committing, encouraging, promoting, or assisting criminal or illegal activities

• Engaging in activities that seriously violate public order, generally accepted standards of conduct, or ethical standards

• Using the Voicebanks for discriminatory purposes or in content that supports or promotes discrimination

• Using the Voicebanks to defame, insult, harass, or attack a specific individual or organization

• Using the Voicebanks for political activities, election campaigning, or political advocacy

• Creating content that praises or criticizes a specific religion

General expressions of faith, hymns, Buddhist sutras, and similar commonly recognized religious works are excluded from the restriction above, provided that they are not used to promote, attack, or recruit for a specific religion or organization.

• Infringing the rights of any third party

• Using the Voicebanks commercially

Commercial use is prohibited by default. Permission may be granted depending on the nature and details of the intended use. The User must contact the Creator and obtain permission in advance.

• Using the Voicebanks, audio files, character artwork, or related materials with generative AI

• Using the Voicebanks or related materials to train, fine-tune, develop, or evaluate an artificial intelligence model

• Using the Voicebanks in a manner that violates the rules or terms of the platform on which the content is posted

• Using the Voicebanks on adult websites or illegal websites

• Falsely claiming to have created the Voicebanks, impersonating the Creator, or otherwise misleading others regarding authorship

• Maliciously editing, processing, or portraying the Voicebanks

• Using the Voicebanks in a way that seriously damages the reputation or public image of the Voicebanks or their Creator

• Redistributing the Voicebanks

• Using the Voicebanks or associated character materials as social media profile icons or similar account images

• Publishing or distributing R18 or adult-only content using the Voicebanks or associated characters

• Using the Voicebanks without identifying or crediting the applicable character

• Using the Voicebanks in content related to suicide

• Using the Voicebanks to advocate a specific ideology, political position, or position concerning a social issue

• Using the Voicebanks to support a specific individual, political party, religious organization, or other organization

• Any other use that the Creator determines to be inappropriate

　7. Special Provisions　

The Creator may establish separate special provisions concerning the following matters:

• Permitted content ratings and forms of expression for a particular UTAU voicebank

• Distribution or sale of works created using a particular UTAU voicebank

• Redistribution of a UTAU voicebank or distribution of a modified version of a UTAU voicebank

• Any other restrictions or permissions applicable to a particular Voicebank

The User must comply with the specified content rating and apply appropriate content warnings, age restrictions, and other forms of content separation.

If a special provision grants permission or imposes a restriction that differs from these Terms, the special provision shall take priority.

 

　8. Limitation of Liability　

1. The Creator and Administrator shall not be liable for any dispute, damage, loss, or other problem arising from the use of a UTAU voicebank governed by these Terms, unless the Creator or Administrator was directly involved through intentional misconduct or gross negligence.

 

　9. Severability　

　If any provision of these Terms, or any part of a provision, is determined to be invalid or unenforceable under the Consumer Contract Act or any other applicable law, the remaining provisions shall continue to remain fully valid and enforceable.　

　Any portion of a provision that remains valid after the invalid or unenforceable portion is removed shall also remain in effect.

 

　10. Governing Law and Jurisdiction　

1. These Terms shall be governed by and interpreted in accordance with the laws of Japan.

2. If the Creator of a UTAU voicebank governed by these Terms is not a Japanese national, or if Japanese law cannot otherwise be applied, the applicable governing law shall be specified in separate special provisions.

3. Any dispute arising from or relating to a UTAU voicebank governed by these Terms shall be subject to the exclusive jurisdiction of the district court designated by the Creator as the court of first instance.

4. Any dispute with the Administrator arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.

 

　11. Amendments　

1. If the Creator establishes separate special provisions concerning any part of these Terms, those special provisions shall take priority.

2. The Creator may modify special provisions associated with these Terms without obtaining the User’s prior consent.

3. The Administrator may modify these Terms without obtaining the User’s prior consent.

4. The latest version of the Terms shall apply from the date on which it is published.
